The Baked Studio – Wholesale Terms of Service

These Terms of Service govern all wholesale (B2B) transactions with The Baked Studio. By placing an order with us, you agree to the terms set out below.

1. Definitions

  • “We”, “us”, “our” refers to The Baked Studio.

  • “You”, “your” refers to the business purchasing our products.

  • “Goods” refers to the products supplied by The Baked Studio.

2. Orders & Contract

  • All orders are subject to acceptance and availability.

  • A binding contract is formed only when we confirm your order in writing (including by email).

  • Minimum order quantities may apply to certain products.

3. Pricing & Payment

  • All prices are quoted in GBP (£) and exclude VAT unless otherwise stated.

  • Payment must be made in full prior to dispatch, unless otherwise agreed in writing.

  • We reserve the right to change prices at any time.

4. Shipping & Delivery

  • UK orders: Free delivery is provided on orders over £80 (ex VAT). Orders under this value will incur delivery charges.

  • EU & Rest of World orders: Please contact us directly for a shipping quotation. Orders are supplied on an Ex Works (EXW) basis unless otherwise agreed.

  • Risk in the goods passes to you upon delivery to the carrier.

  • We will use reasonable efforts to deliver within stated timeframes, but delivery dates are estimates only and we accept no liability for delays outside our control.

5. Returns & Claims

  • We do not accept returns of unwanted goods.

  • Any issues (shortages, damages, incorrect or faulty items) must be reported to us in writing within 7 days of delivery. Claims outside this timeframe cannot be accepted.

  • For hygiene and food safety reasons, edible products cannot be returned unless faulty.

  • If goods are confirmed faulty or incorrect, we may, at our discretion, replace the goods or issue a credit/refund.

6. Product Use & Compliance

  • Our products are intended for professional cake decorating and baking purposes.

  • It is your responsibility to ensure that goods are suitable for your intended use and comply with any regulations applicable in your country of operation.

  • Edible products are supplied with the required technical documentation (where applicable) to demonstrate compliance with UK food safety standards.

7. Liability

  • Our liability is limited to the value of the goods supplied.

  • We shall not be liable for indirect, consequential, or economic losses, including (but not limited to) loss of profits, sales, or business opportunities.

8. Intellectual Property

  • All branding, logos, product names, images, and content remain the property of The Baked Studio and may not be used without prior written consent.

9. Force Majeure

  • We are not liable for any failure or delay in performance caused by events beyond our reasonable control (including natural disasters, transport delays, strikes, pandemics, or government restrictions).

10. Governing Law

  • These Terms are governed by and construed in accordance with the laws of England and Wales.

  • Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
